End User License Agreement — Navoa

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("you" or "User") and Arctic Applications ehf., an Icelandic limited liability company with its registered office at Geitland 41, 108 Reykjavík, Iceland ("Arctic Applications," "we," "us," or "our"). This Agreement governs your access to and use of the Navoa mobile application and related services and content (collectively, the "App" or the "Service").

By downloading, installing, accessing, creating an account in, or otherwise using the App, you confirm that you have read, understood, and agree to be bound by this Agreement. The App is not intended for use by individuals under the age of 18 (or any higher minimum age set under applicable law in your jurisdiction). If you do not meet the age requirement, you must not use the App. If you do not agree to all of the terms of this Agreement, you must not download, install, or use the App.

This Agreement supersedes the standard Licensed Application End User License Agreement provided by Apple Inc. to the extent permitted by Apple's terms.

In this Agreement, "Distributor" means Apple Inc. ("Apple"), Google LLC ("Google"), or any other operator of an app store, marketplace, or distribution platform through which you may have obtained the App.


1. Agreement is with Arctic Applications, not the Distributor

This Agreement is concluded between you and Arctic Applications only. It is not an agreement with any Distributor. Arctic Applications, and not any Distributor, is solely responsible for the App and its content. You acknowledge that this Agreement may not provide for usage rules for the App that conflict with the Apple Media Services Terms and Conditions as of the effective date of this Agreement.

2. License Grant and Restrictions

Subject to your compliance with this Agreement, Arctic Applications grants you a personal, limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any Apple-branded device, Android device, or other device that you own or control, in each case as permitted by the applicable Distributor's usage rules — including, without limitation, the Usage Rules set forth in the Apple Media Services Terms and Conditions. If you obtained the App from the Apple App Store, the App may also be accessed and used by other accounts associated with you via Family Sharing or volume purchasing, in accordance with Apple's Usage Rules.

This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

You may not: (a) copy the App, except as expressly permitted by this license; (b) modify, translate, adapt, or otherwise create derivative works or improvements of the App; (c) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the App or any part thereof; (d) remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the App; (e) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the App; or (f) use the App for any illegal, unauthorized, or otherwise improper purpose.

3. User Accounts

Certain features of the App require you to create a user account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activities that occur under your account, and you agree to notify us promptly at contact@arcticapplications.com of any unauthorized use of your account or any other breach of security. Arctic Applications will not be liable for any loss or damage arising from your failure to comply with these requirements.

4. Emergency Services (SOS) Functionality — Important Notice

The App includes an SOS feature that allows you to send a distress notification ("SOS Notification") via the internet to Arctic Applications' servers, which then (a) forward the SOS Notification to the Icelandic Coast Guard (Landhelgisgæsla Íslands) under an arrangement between Arctic Applications and the Icelandic Coast Guard, (b) send an SMS message to the emergency contact you have designated for your vessel, and (c) deliver in-app push notifications to nearby vessels using the App. However, SOS Notifications cannot be guaranteed to be sent or forwarded from Arctic Applications' servers, received by emergency contacts or other vessels, or acted upon, as detailed below.

This Section is a critical part of this Agreement. Please read it carefully.

4.1 Geographic scope — Iceland only

THE SOS FEATURE IS INTENDED SOLELY FOR USE BY SAILORS OPERATING IN THE WATERS IN AND AROUND ICELAND, WITHIN THE SEARCH AND RESCUE JURISDICTION OF THE ICELANDIC COAST GUARD. The arrangement between Arctic Applications and the Icelandic Coast Guard pursuant to which SOS Notifications are monitored and acted upon applies only to vessels in distress within that geographic area.

IF YOU INITIATE AN SOS NOTIFICATION FROM A LOCATION OUTSIDE THIS AREA, YOU SHOULD NOT EXPECT TO RECEIVE ANY ASSISTANCE AS A RESULT OF USING THE SOS FEATURE. In particular:

(a) the Icelandic Coast Guard has no obligation to respond to SOS Notifications originating outside its search and rescue jurisdiction, and is in any event not the appropriate authority to dispatch assistance to your location;

(b) the App will not alert any other coast guard, search and rescue organization, or emergency service in any other country or jurisdiction; and

(c) Arctic Applications does not have arrangements with any emergency service outside Iceland to receive, monitor, or act upon SOS Notifications sent through the App.

If you sail outside the waters in and around Iceland, you must use emergency communication equipment and procedures appropriate to the jurisdiction in which you are operating — for example, an EPIRB or PLB registered with the relevant national authority, a marine VHF radio with DSC, or direct contact with the local coast guard or search and rescue authority. You must not rely on the App's SOS feature outside Iceland.

The geographic limitation set out in this Section applies regardless of any technical controls in the App that may otherwise prevent, warn against, or restrict the use of the SOS feature outside the supported area, and applies whether or not such controls are present, accessible, or functioning as intended at the time an SOS Notification is sent.

4.2 Not a substitute for proper marine safety equipment

THE SOS FEATURE IS NOT A REPLACEMENT FOR DEDICATED MARINE SAFETY EQUIPMENT OR ESTABLISHED MARITIME EMERGENCY COMMUNICATION CHANNELS. You must not rely on the SOS feature as your sole or primary means of distress communication, even within the geographic area described in Section 4.1.

You should always carry, maintain, and know how to operate appropriate marine safety equipment, including, where applicable: an Emergency Position-Indicating Radio Beacon (EPIRB), a Personal Locator Beacon (PLB), a marine VHF radio with Digital Selective Calling (DSC), flares, life jackets, and any other equipment required by Icelandic maritime regulations or by the regulations of any jurisdiction in which you operate. Where it is possible to do so, you should also contact emergency services directly — for example, by calling 112 in Iceland.

4.3 Internet connection required for activation

Initiating an SOS Notification requires an active internet connection on your device at the time the SOS is sent. Once the SOS Notification has been successfully relayed to Arctic Applications' servers, the SOS itself does not require continued connectivity in order to remain in effect.

However, the in-app SOS status page — which displays (i) whether Arctic Applications' servers received the SOS Notification, (ii) whether the SOS Notification was forwarded to the Icelandic Coast Guard, (iii) whether the SMS message was sent to your designated emergency contact, and (iv) how many nearby vessels received the in-app push notification — will only update on your device while you have an active internet connection. The absence of a status update on your device does not, by itself, mean that the SOS was not received or acted upon.

4.4 No guarantee of receipt, response, or outcome

Arctic Applications does not, and cannot, guarantee that:

(a) any SOS Notification will be successfully transmitted, received, or processed by Arctic Applications' servers, by the Icelandic Coast Guard, by your designated emergency contact, or by other users of the App;

(b) the Icelandic Coast Guard, your emergency contact, any nearby vessel, or any other party will respond to an SOS Notification within any particular timeframe, or at all;

(c) the location data included with an SOS Notification will be accurate or sufficient to enable rescue or assistance;

(d) the SMS message to your designated emergency contact will be delivered, or that the recipient will be available, reachable, or able to render assistance; or

(e) any nearby vessel will receive, see, or respond to an in-app push notification.

The successful operation of the SOS feature depends on numerous factors beyond Arctic Applications' control, including the availability and quality of internet and cellular connectivity, the accuracy of GPS data on your device, the responsiveness of third-party services and infrastructure, the availability and capacity of emergency responders, and prevailing weather and sea conditions.

4.5 User acknowledgment

By using the SOS feature, you acknowledge and accept the limitations described in this Section. You further acknowledge that maritime activity, including sailing, carries inherent risks; that you remain solely responsible for your own safety and the safety of your crew and passengers; and that the SOS feature is provided as a supplemental safety tool only.

4.6 Misuse of the SOS feature; criminal liability

The SOS feature is provided exclusively for use in genuine maritime emergencies. You must not initiate an SOS Notification:

(a) as a test (outside of any test or simulation mode expressly provided by Arctic Applications for that purpose), prank, hoax, or false alarm;

(b) to harass, intimidate, alarm, or deceive any person; or

(c) for any purpose other than reporting a genuine maritime emergency.

Submitting a false or fraudulent SOS Notification, or any other misuse of the SOS feature, may constitute a criminal offense under Icelandic law and the laws of other jurisdictions, and may result in fines, criminal prosecution, or other legal sanctions. In the event of any such misuse, Arctic Applications may, in addition to any other rights or remedies available to it:

(i) immediately suspend or terminate your account and your access to the App;

(ii) cooperate fully with the Icelandic Coast Guard, law enforcement authorities, and other emergency services in connection with any investigation; and

(iii) disclose your account information, location data, IP address, and any other relevant information in our possession to such authorities, in accordance with applicable law and our Privacy Policy.

You may also be liable to Arctic Applications, the Icelandic Coast Guard, and any other affected parties for any costs (including search and rescue costs) reasonably incurred as a result of your misuse of the SOS feature.

5. Permitted Use; Auxiliary Tool

The App is an auxiliary tool intended to assist with recreational sailing trip recording, awareness, and supplemental safety communications. It does not constitute, and is not certified as, navigation equipment, safety equipment, emergency equipment, or professional maritime advice.

You may use the App only as a decision-making support tool, not as a final decision-making tool. The output of the App and its features must not be relied upon as the sole basis for navigation, safety, or emergency decisions. You remain solely responsible for safe navigation, the safety of your vessel and passengers, and compliance with all applicable laws and regulations of the jurisdictions in which you operate.

6. Location Data and Privacy

The App uses foreground and background location services to record sailing trips and to provide location information in connection with the SOS feature. The collection and use of location data and other personal information is described in our Privacy Policy, available at https://navoa.is/privacy, which is incorporated into this Agreement by reference. By using the App, you consent to the collection and use of location data as described in the Privacy Policy.

7. User-Submitted Content

The App allows you to submit certain content, including but not limited to photographs of your vessel and the name of your vessel ("User Content"). User Content may be displayed publicly within the App and on Arctic Applications' website at https://navoa.is, where it may be visible to other users of the App and to members of the public.

7.1 Your responsibilities

You are solely responsible for your User Content. By submitting User Content, you represent and warrant that:

(a) you own all rights in the User Content, or you have obtained all necessary rights, licenses, consents, and permissions to submit it and to grant the license in Section 7.2;

(b) the User Content does not infringe the intellectual property rights, privacy rights, publicity rights, or other rights of any person or entity; and

(c) the User Content complies with the content rules in Section 7.3.

7.2 License to Arctic Applications

By submitting User Content, you grant Arctic Applications a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and otherwise use the User Content in connection with operating, providing, and promoting the App and the Service. You retain ownership of your User Content; this license is for the limited purposes described in this Section.

7.3 Content rules

User Content must be suitable for all ages. You must not submit any User Content that:

(a) depicts violence, nudity, sexual content, profanity, or other content unsuitable for general audiences;

(b) is unlawful, defamatory, harassing, threatening, hateful, or discriminatory;

(c) infringes the intellectual property, privacy, or other rights of any third party;

(d) contains personal data of any other person without their consent; or

(e) violates the policies or terms of any Distributor.

7.4 Removal and consequences

Arctic Applications may remove, edit, or refuse to display any User Content at any time, with or without notice, in its sole discretion. Submission of User Content that violates Section 7.3 may result in suspension or termination of your account, may result in a permanent ban from the Service, and may be reported to the relevant local authorities for investigation or prosecution where appropriate.

8. Service Availability and Limitations

8.1 Dependencies and failure modes

The Service depends on hardware, software, and connectivity beyond Arctic Applications' control, including but not limited to: GPS satellites and signals, device sensors, mobile operating system services, cellular and data networks, internet infrastructure, electrical power and battery, and third-party cloud services. The Service may be inaccurate, delayed, unavailable, interrupted, or fail without notice due to factors including signal loss, battery depletion, device malfunction, or third-party service disruption. Maps and classifications presented in the App (for example, classifications of areas as "ocean" or "inland") may be incomplete or out of date.

8.2 Right to modify or discontinue

Arctic Applications may, at its sole discretion and at any time, modify, suspend, discontinue, or remove any feature or part of the Service, with or without notice and without liability to you or to any third party. Arctic Applications may also, in the future, offer new services or features through the App, which shall be subject to this Agreement.

8.3 Assumption of risk

You acknowledge and accept that boating, sailing, and other maritime activities involve inherent risks, including the risk of injury, death, and damage to property. You assume all risks associated with your use of the App and your participation in maritime activities, and you remain solely responsible for: (a) the safety of your vessel and passengers; (b) any decisions you make on the water; (c) ensuring that your device has sufficient power, permissions, and connectivity for any features you intend to rely on; and (d) verifying any information presented by the App before relying on it for navigation or safety.

9. Consent to Use of Technical Data

You agree that Arctic Applications may collect and use technical data and related information — including but not limited to information about your device, system and application software, and peripherals — that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the App. Arctic Applications may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.

10. Maintenance and Support

Arctic Applications is solely responsible for providing any maintenance and support services with respect to the App, as specified in this Agreement, or as required by applicable law. No Distributor has any obligation whatsoever to furnish any maintenance or support services with respect to the App.

11. Disclaimer of Warranties

Arctic Applications is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If you obtained the App from the Apple App Store, then in the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you; and to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. No other Distributor has any warranty obligation with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Arctic Applications' sole responsibility.

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND ARCTIC APPLICATIONS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. ARCTIC APPLICATIONS DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR THAT ACCESS TO IT WILL BE CONTINUOUS OR UNINTERRUPTED.

You understand that you download, access, and otherwise use the App at your own discretion and risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ARCTIC APPLICATIONS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

(a) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

(b) ANY DAMAGES FOR LOSS OF PROFITS, REVENUES, DATA, GOODWILL, BUSINESS, OR OTHER INTANGIBLE LOSSES;

(c) ANY COST OF PROCUREMENT OF SUBSTITUTE PRODUCTS OR SERVICES; OR

(d) ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH ANY FAILURE OR DELAY IN THE TRANSMISSION, RECEIPT, OR PROCESSING OF AN SOS NOTIFICATION, OR ANY FAILURE OF ANY THIRD PARTY (INCLUDING THE ICELANDIC COAST GUARD, EMERGENCY CONTACTS, OR NEARBY VESSELS) TO RECEIVE OR ACT UPON ANY SUCH NOTIFICATION,

IN EACH CASE ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE APP, REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED AND EVEN IF ARCTIC APPLICATIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, ARCTIC APPLICATIONS' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF: (i) THE TOTAL AMOUNT (IF ANY) PAID BY YOU TO ARCTIC APPLICATIONS FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (ii) FIFTY UNITED STATES DOLLARS (USD 50).

NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS ARCTIC APPLICATIONS' LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY ITS GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE ICELANDIC LAW.

13. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Arctic Applications, its affiliates, contractors, and licensors, and their respective directors, officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the App; (b) your User Content; (c) your breach of this Agreement; or (d) your violation of any law or the rights of any third party. This Section does not apply to the extent that such indemnification would be unenforceable under applicable consumer protection law.

14. Product Claims

Arctic Applications, and not any Distributor, is responsible for addressing any claims by you or any third party relating to the App or your possession or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

15. Intellectual Property

15.1 Ownership

The App and the Service, including all software, code, designs, graphics, logos, trademarks, service marks, and other content (other than User Content), are owned by Arctic Applications or its licensors and are protected by intellectual property laws. As between you and Arctic Applications, all rights, title, and interest in and to the App and the Service remain solely with Arctic Applications. Other trademarks, service marks, graphics, and logos used in connection with the App may be the trademarks of third parties.

This Agreement does not grant you any right or license to reproduce or otherwise use any Arctic Applications or third-party trademarks. The license granted to you in Section 2 is the only license granted to you with respect to the App.

15.2 Third-party intellectual property claims

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Arctic Applications, and not any Distributor, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

16. Termination

16.1 Termination by Arctic Applications

Arctic Applications may terminate this Agreement, suspend or terminate your account, or refuse, limit, or remove your access to all or any part of the App at any time, with or without cause and with or without notice, effective immediately. Without limiting the foregoing, your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms.

16.2 Termination by you

You may terminate this Agreement at any time by ceasing all use of the App and deleting all copies of the App from your devices.

16.3 Effect of termination

Upon termination, your right to use the App will end immediately. Your access to data associated with your account may be deleted or anonymized in accordance with our Privacy Policy and applicable law. The following Sections shall survive termination: 4 (Emergency Services), 7.2 (License to Arctic Applications) with respect to User Content already submitted, 8.3 (Assumption of Risk), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 14 (Product Claims), 15 (Intellectual Property), 17 (Legal Compliance), 19 (Third-Party Beneficiaries), 20 (Governing Law and Disputes), 22 (Miscellaneous), and 23 (Contact).

17. Legal Compliance

You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

18. Third-Party Terms

You must comply with applicable third-party terms of agreement when using the App. For example, you must not be in violation of your wireless data service agreement when using the App.

19. Third-Party Beneficiaries

You acknowledge and agree that Apple and its subsidiaries, and Google and its subsidiaries, are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, each of them will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

20. Governing Law and Disputes

This Agreement, and any dispute arising out of or relating to it or to your use of the App, shall be governed by and construed in accordance with the laws of Iceland, without regard to its conflict of laws principles. Any such dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the District Court of Reykjavík (Héraðsdómur Reykjavíkur), located at Austurstræti 19, 101 Reykjavík, Iceland, without prejudice to any mandatory consumer protection rights you may have under the laws of your country of residence.

The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from application to this Agreement.

21. Changes to this Agreement

Arctic Applications may modify this Agreement from time to time. We will notify you of material changes by posting the updated Agreement in the App or on our website at https://navoa.is, and where appropriate by other reasonable means. Your continued use of the App after such changes take effect constitutes your acceptance of the modified Agreement. If you do not agree to the modified Agreement, you must stop using the App.

22. Miscellaneous

22.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, severed from this Agreement; and the remaining provisions shall remain in full force and effect.

22.2 No waiver

Failure by Arctic Applications to enforce any provision of this Agreement shall not constitute a waiver of that or any other provision.

22.3 Assignment

You may not assign or transfer this Agreement or any rights under it without Arctic Applications' prior written consent. Arctic Applications may assign or transfer this Agreement at any time without restriction.

22.4 Entire Agreement

This Agreement, together with the Privacy Policy referenced in Section 6, constitutes the entire agreement between you and Arctic Applications regarding the App and supersedes any prior agreements between you and Arctic Applications relating to its subject matter, including any prior Terms of Use.
